Submission of an application for the suspension of trading in shares in PGNiG S.A. and the delisting of PGNiG S.A. in connection with the merger of PGNiG S.A. with PKN ORLEN S.A.

With reference to current reports No. 42/2022 of 29 July 2022, No. 16/2022 of 16 March 2022, No. 40/2021 of 8 October 2021 and No. 18/2021 of 12 May 2021, the management board of PGNiG S.A. (the “Company”) announces that on 17th October 2022, the Company submitted an application to the Management Board of the Warsaw Stock Exchange (Giełda Papierów Wartościowych w Warszawie S.A.) for the suspension of trading in the shares in the Company and the delisting of the Company due to the merger of the Company with PKN ORLEN S.A., pursuant to § 30 section 1 item 1) and § 31 section 2 item 6) of the WSE Rules (the “Application”).
Further to the Application, trading in the shares in the Company is expected to be suspended from 31 October 2022 until the delisting, i.e. the registration of the merger of the Company (the acquired company) with PKN ORLEN S.A. (the acquiring company) by the registry court competent for the registered office of PKN ORLEN S.A.
