Execution of amendment to investment agreement on rules governing cooperation in construction of gas-fired power generation unit at Ostrołęka C Power Plant

Further to Current Report No. 66/2020 of December 22nd 2020, the Management Board of Polskie Górnictwo Naftowe i Gazownictwo SA (“PGNiG”, the “Company”) announces that on November 29th 2021 PGNiG, Polski Koncern Naftowy ORLEN S.A. and Energa S.A. (jointly the “Parties”) signed an amendment to the investment agreement of December 22nd 2020 on rules governing cooperation in the construction of a gas-fired power generation unit at the Ostrołęka C Power Plant (the “Agreement”).
The amendment confirms the Parties’ readiness to continue their cooperation on the project to construct the Ostrołęka C Power Plant (the “Gas Project”), as well identifying the need to adapt the terms of cooperation to the conditions under which the Gas Project is to be carried out. Accordingly, the Parties have committed to seek agreement on PGNiG’ financial contribution, whose amount and payment method should be specified in a separate agreement by the end of 2022, as the preferred form of the Company’s involvement in the Gas Project.
