Changes in the Composition of PGNiG’s Supervisory Board

The Management Board of Polskie Górnictwo Naftowe i Gazownictwo S.A. (“PGNiG”) hereby reports that the Extraordinary General Shareholders Meeting of PGNiG held on November 18th 2008 removed the following persons from the PGNiG’s Supervisory Board:- Ms Joanna Stuglik- Mr Hubert KonarskiThe Extraordinary General Shareholders Meeting of PGNiG held on November 18th, 2008 appointed the following persons to the Supervisory Board:- Mr Marek Karabuła- Mr Maciej Kaliski
Mr Marek Karabula has obtained a Masters degree in economic studies. He graduated in 1996 from Management Faculty of Akademia Ekonomiczna in Cracow. Since 7 February 2008 he has been a Vice-Chairman of the Supervisory Board of PKN ORLEN SA and also since 10 January 2008 he has been CEO of Nafta Polska S.A. In the period from December 2005 to October 2006 he was a member of the Management Board in Rafineria Trzebinia S.A.; from March 2006 to October 2006 he was a member of Management Board of ORLEN Oil Sp. z o.o.; from December 2004 to October 2005 he was Vice-president of the Management Board of Browary Polskie Brok-Strzelec S.A.; from October 2003 to September 2004 he was Vice-president of the Management Board of AUTOSAN S.A.; from December 2000 to January 2002 he was Vice-president of the Management Board of Browary Dolnośląskie Piast S.A.; from December 1994 to October 2000 he was Vice-president of the Management Board of Browary Okocim S.A. In 2005 he passed the exam for candidates for members of Supervisory Board in state-owned companies.
Mr Maciej Kaliski graduate of the Faculty of Drilling, Oil and Gas of the University of Mining and Metallurgy in Cracow. Long-time member of that faculty, initially as an intern and recently as a professor. Currently holds the position of Deputy Head of the Chair of Gas Engineering and the Head of Studies on Oil and Gas Industry Economics and Production Management. Also employed as the Director of Oil and Gas Department, Ministry of Economy. Author and co-author of over 100 articles in Polish and international professional journals as well as 20 books, textbooks and monographs. Specialists in the fields of energy security, business restructuring, and value based management. Over 20 years of experience in managing large corporations and joint-ventures.
The newly appointed members of the Supervisory Board do not conduct any activity which would be competitive with respect to PGNiG’s business, nor are they partners in any partnership, or members of any governing body of a corporation whose activities would be competitive with respect to PGNiG’s business. The newly appointed members have not been entered into the Register of Insolvent Debtors maintained under the Act on the National Court Register.
