08.11.2013 Announcement by PGNiG SA concerning EuRoPol Gaz SA

On November 8th 2013, prior to the scheduled meetings of the Supervisory Board and the General Meeting of EuRoPol Gaz SA, the company received a resignation letter from Zdzisław Jamka, second Vice-President of the Management Board, and the General Meeting of EuRoPol Gaz SA received a request from Mirosław Dobrut, President of the Management Board, to be removed from the office. Under the current legal status, EuRoPol Gaz SA does not meet the requirements set out in its Articles of Association whereby the Management Board must be composed of four members.

EuRoPol Gaz SA's shareholders are: PGNiG SA (48%), OAO Gazprom (48%) and Gas Trading (4%). Under the Articles of Association of EuRoPol Gaz, PGNiG SA may recommend two of its representatives to the Management Board of EuRoPol Gaz SA upon approval by the Minister of State Treasury. OAO Gazprom enjoys similar rights.

Polish shareholders, who hold the majority of votes at the General Meeting of EuRoPol Gaz SA, wanted to elect new members of the Management Board of EuRoPol Gaz SA recommended by PGNiG SA. However, OAO Gazprom representatives prevented this by leaving the meeting.

In order to appoint its representatives at EuRoPol Gaz SA, PGNiG SA has called on the remaining shareholders to promptly convene an Extraordinary General Meeting for November 12th 2013.
