26.11.2008 EGM approved the purchase price for Polskie LNG Sp. z o.o.

On 26 November 2008, the Extraordinary General Meeting of Shareholders of PGNiG SA resolved that the purchase price for 100% of shares in Polskie LNG Sp. z o.o., with its registered office in ?winouj?cie, will be PLN 52,000,000. The above amount was determined based on the valuation conducted by an independent valuer. Earlier, the price was accepted by both PGNiG SA and OGP Gaz-System SA supervisory boards.

Polskie LNG was established in 2007 for the purpose of construction and operation of an LNG terminal in ?winouj?cie. Earlier, i.e. on 8 November 2008, the EGM consented to the non-competitive sale of 100% of shares in Polskie LNG Sp. z o.o., with its registered office in ?winouj?cie, to Operator Gazoci?gów Przesy?owych Gaz-System S.A

Furthermore, the EGM consented to the reduction of the purchase price for real property in Lwówek ?l?ski. Pursuant to the decision of EGM, the real property, which is of no business use to PGNiG, may be sold by not less than PLN 120,000.
